Привет, у меня вот такая вот ситуация...  установлен апач 2.2 ... запускается без проблем... но когда привязываю к нему php-5.3.5-Win32-VC6-x86 выдает ошибку по теме поста ...  в окне Test Configuration выдает ошибку этой строки LoadModule php5_module С:/WEB/php/php5apache2_2.dll, когда для пробы закоменичиваю ее, то выдает ошибку этой строки PHPIniDir

Если бинарник Apache с официального сайта, то он под VC6, а вот откуда php-5.3.5-Win32-VC6-x86? На официальном сайте PHP таких сборок нет, а собранный под VC9 работать не будет.

По идее, разницы в настройке быть не должно, если только сам Windows 7 не будет выдвигать какие-то требования. У меня пока не было возможности проверить установку на Windows 7, поэтому ничего сказать не могу. Test Configuration запускаю - окно мелькнет и выходит сразу.
в журнале ошибок написано следующее:

Это означает, что Apache не может открыть файлы журналов указанные в директивах ErrorLog и CustomLog в httpd.conf или в файле конфигурации виртуальных хостов.

в файле написано так:

файлов таких конечно же не существует =\
их самому создать нужно? или они сами создаются?

Файлы будут созданы сами, но попробуйте сменить путь на какой-нибудь другой, возможно имя каталога из нижнего подчеркивания не работает.

В httpd.conf добавьте строку

Win32DisableAcceptEx

Если не поможет, то смотрите журналы ошибок операционной системы или проверьте конфигурационные файлы.

Журналы операционной системы находятся здесь: Control Panel -> Administrative Tools -> Event Viewer.

Проверить конфигурационный файл можно выполнив в командной строке (подставьте полный путь к httpd.exe):
